IMPORTANT - READ CAREFULLY: This Mailsage Product License Agreement ("FPLA") is a legal agreement between the certificate holder ("HOLDER") and Mailsage Corporation ("MAILSAGE"). The server software product ("PRODUCT") provided as indicated on this certificate is licensed to the certificate holder under the terms of this agreement. By using this PRODUCT, HOLDER agree to be bound by the terms of this FPLA. If HOLDER do not agree to the terms of this FPLA, MAILSAGE is unwilling to license the PRODUCT to HOLDER.
SOFTWARE LICENSE
The PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The PRODUCT is licensed, not sold.
GRANT OF LICENSE
PRODUCT includes software already installed on the system and, if included in the package, software contained on the CD-ROM. This FPLA grants HOLDER the rights to the PRODUCT. HOLDER may use the PRODUCT as installed on the system. For each server license acquired, HOLDER may install a copy of the PRODUCT on a single server. The PRODUCT can support simultaneous access to the server by multiple users, while the total number of users registered in the system shall not exceed the number of user license indicated in this certificate at any time.
DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS
Limitation on Reverse Engineering, Decompilation, and Disassembly
HOLDER may not reverse engineer, decompile, or disassemble the PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
Rental
HOLDER may not rent or lease the PRODUCT.
Termination
Without prejudice to any other rights, MAILSAGE may terminate this FPLA if HOLDER fail to comply with the terms and conditions of this FPLA. In such event, HOLDER must destroy all copies of the PRODUCT and all of its component parts.
UPGRADES AND RECOVERY MEDIA
If the PRODUCT is provided on media such as a ROM chip, CD-ROM disc(s) or via Web download or other means, and is labeled "For Upgrade Purposes Only" or "For Recovery Purposes Only", HOLDER may install one copy of such Product software onto the system as a replacement copy for the existing Product software and use it in accordance with Section 1 of this FPLA.
COPYRIGHT
All title and intellectual property rights in and to the PRODUCT, the accompanying printed materials, and any copies of the PRODUCT, are owned by MAILSAGE. HOLDER may not copy the printed materials accompanying the PRODUCT. All title and intellectual property rights in and to the content which may be accessed through use of the PRODUCT is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This FPLA grants HOLDER no rights to use such content. All rights not specifically granted under this FPLA are reserved by MAILSAGE.
LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, MAILSAGE shall not be liable to HOLDER or any third party claiming through HOLDER for any damages in connection with the PRODUCT. In no event shall MAILSAGE be liable to HOLDER or any third party for any indirect, extraordinary, exemplary, punitive, special, incidental, or consequential damages (Including loss of data, revenue, profits, use or other economic advantage) However arising, whether for breach or in tort, even if MAILSAGE has been previously advised of the possibility of such damage. MAILSAGE assumes no responsibility for errors or omissions in the information or software or other documents which are included in the package.
